These Terms of Service ("Terms") govern your use of The Villa platform, including our website at enterthevilla.com (the "Website"), online course content (the "Course"), and our Discord community (the "Community"). Together, these are referred to as the "Service."
When we say "we," "us," or "our," we mean Villanueva Creative Pty Ltd. When we say "you" or "your," we mean you, the person using the Service.
By checking the "I agree to the Terms of Service" box at checkout, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not purchase or use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you confirm that you are 18 or older.
2. What You Get
The Villa is an online education platform that teaches you how to use AI tools (including Claude) for business. Your subscription includes:
- Access to 24 structured lessons delivered through the Website
- Access to our gated Discord community
- Any additional materials or resources we make available to subscribers
3. Subscription and Pricing
3.1 Pricing
All prices are in US Dollars (USD).
- Founding Resident rate: $59 USD/month. This rate is available to the first 30 residents and is locked in for life, meaning it will not increase for as long as your subscription remains active.
- Standard rate: $89 USD/month.
3.2 Billing
Your subscription is billed monthly on a recurring basis. Payments are processed through Stripe. Your subscription will automatically renew each month until you cancel.
By subscribing, you authorise us to charge your chosen payment method on a recurring monthly basis.
3.3 Failed Payments
If a payment fails, we will retry and notify you. You have a 7-day grace period to update your payment details. During this grace period, your access to the Service will continue. If payment is not resolved within 7 days, your subscription will be suspended.
3.4 Price Changes
We may change our subscription pricing from time to time. If we do:
- We will give you at least 30 days' notice via email before any price change takes effect.
- Founding Resident rates are locked and will not change.
- Price changes will not apply to your current billing cycle.
4. Cancellation
You can cancel your subscription at any time using the self-service cancel button in your account settings. No emails, no phone calls, no hoops to jump through.
When you cancel:
- Your access continues until the end of your current billing period.
- You will not be charged again after cancellation.
- There is no notice period beyond your current billing cycle.
- If you are a Founding Resident and cancel, your locked rate is forfeited. If you resubscribe later, the standard rate will apply.

5. Content Licence
When you subscribe, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to access and view the Course content for your own personal and professional development.
You may not:
- Redistribute, share, resell, or republish any Course content
- Record, screenshot, or capture Course content for the purpose of sharing it externally
- Allow anyone else to access the Course using your account
- Use Course content to create competing products or services
This licence is active only while your subscription is current. When your subscription ends (whether by cancellation or termination), your licence to access the Course content ends immediately.
6. Intellectual Property
All Course content, including but not limited to lessons, videos, text, graphics, templates, frameworks, and any other materials provided through the Service, is owned by Villanueva Creative Pty Ltd and protected under the Copyright Act 1968 (Cth) and applicable international copyright laws.
Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence described in Section 5.
7. Acceptable Use
This section applies to your use of both the Website and the Discord Community.
You agree not to:
- Harass, bully, intimidate, or be disrespectful to other residents or staff
- Spam, send unsolicited promotions, or engage in excessive self-promotion
- Share, distribute, or leak any Course content outside the Service
- Use the Service for any illegal or unauthorised purpose
- Attempt to gain unauthorised access to any part of the Service
- Impersonate another person or misrepresent your affiliation
Consequences
We follow a graduated approach to enforcement:
- Warning for a first or minor violation
- Mute (temporary restriction from the Community) for repeated or moderate violations
- Ban (permanent removal from the Community and termination of your subscription) for serious or continued violations
We reserve the right to skip steps for serious violations. Our Community Guidelines, available at /community, provide additional detail on expected behaviour in Discord.
8. User-Generated Content
You own the content you post in the Discord Community. By posting, you grant us a non-exclusive, royalty-free licence to display your content within the Community for the purpose of operating the Service (for example, so other residents can see and respond to your messages).
We will not use your content for marketing, testimonials, case studies, or any purpose beyond the normal operation of the Community without your explicit, separate permission.
9. AI and Technology Disclaimer
The Villa teaches you how to use AI tools, and some of our content may be created or assisted by AI.
You should be aware that:
- AI tools produce outputs that may contain errors, inaccuracies, or outdated information. Always verify important information independently.
- The AI tools and platforms we teach (including Claude and others) are third-party services. Their features, capabilities, pricing, and availability may change at any time, and we have no control over those changes.
- Your results from applying what you learn will vary. We cannot guarantee specific outcomes, revenue, or business results.
10. Professional Disclaimer
The content provided through the Service is for educational purposes only. It does not constitute business advice, legal advice, financial advice, or any other form of professional advice.
You are responsible for your own decisions and outcomes. We are not liable for any results (or lack of results) you experience from applying what you learn.
If you need professional advice, please consult a qualified professional in the relevant field.
11. Privacy
We collect and handle your personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using the Service, you agree to the collection and use of your information as described in that policy.
12. Third-Party Services and Platform Disclaimer
The Service relies on third-party platforms and services, including but not limited to:
- Stripe for payment processing
- Discord for community access
- Vercel for website hosting
We are not responsible for any downtime, data loss, service interruption, or security breach caused by these third-party services. If a third-party platform experiences an outage or discontinues service, we will make reasonable efforts to find an alternative, but we cannot guarantee uninterrupted access to all parts of the Service at all times.
If Discord bans or suspends your account for reasons outside our control, we are not responsible for restoring your community access.
13. Copyright and Content Protection
All Course content is protected under the Copyright Act 1968 (Cth). If you believe your copyrighted work has been used within the Service without authorisation, or if we become aware that Course content has been shared or reproduced without permission, we will take appropriate action.
To report unauthorised use of Course content, contact us at villanuevacreative@gmail.com with:
- A description of the copyrighted work
- The location of the infringing material
- Your contact information
- A statement that you have a good faith belief that the use is not authorised
We reserve the right to remove infringing content and to take legal action where appropriate, in accordance with the Copyright Regulations 2017 (Cth) and applicable laws.
14. Indemnification
You agree to indemnify and hold harmless Villanueva Creative Pty Ltd, its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your violation of any applicable law
- Content you post in the Discord Community
This indemnification does not apply to the extent that a claim arises from our own negligence, wilful misconduct, or breach of the Australian Consumer Law.
15. Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service failures, government actions, or pandemics.
16. Limitation of Liability
To the maximum extent permitted by law, Villanueva Creative Pty Ltd's total liability to you for any claims arising from or related to the Service is limited to the amount you paid us in the 3 months immediately before the claim arose.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded or limited by agreement.
17. Termination
We may suspend or terminate your access to the Service if you:
- Breach these Terms of Service
- Violate the Acceptable Use provisions in Section 7
- Engage in conduct that is harmful to other residents, our staff, or the Service
- Fail to resolve a payment issue within the grace period described in Section 3.3
If we terminate your access for a breach of these Terms, you will not be entitled to a refund for the current billing period. Your content licence under Section 5 ends immediately upon termination.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes:
- We will notify you by email at least 30 days before the changes take effect.
- The updated Terms will be posted on the Website with a new "Last updated" date.
- Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
If you do not agree with the updated Terms, you may cancel your subscription before they take effect.
20. Dispute Resolution
We hope it never comes to this, but if there is a dispute:
- Informal resolution first. Contact us by email within 30 days of the issue arising. We will work with you in good faith to resolve the matter.
- Mediation. If we cannot resolve the dispute informally within 30 days, either party may refer the matter to mediation before pursuing legal action.
- Legal proceedings. If mediation does not resolve the dispute, either party may commence legal proceedings.
Nothing in this section limits your rights under the Australian Consumer Law, including your right to lodge a complaint with a relevant consumer protection agency or to pursue any statutory remedies available to you.
21. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
